Provider Service Agreement

Effective Date: March 17, 2026

Parties

Platform: ATX Software Labs LLC (including any platforms it operates)
Provider: Individual or business using the Platform

Services Provided

• Booking and scheduling tools
• Payment processing via Stripe
• Customer interface (mobile/web)

Independent Contractor Status

• Provider is not an employee of the Platform.
• Provider controls pricing (if allowed), schedule, and services offered.

Payment Terms

• Payments are processed via Stripe.
• Platform collects payment on behalf of Provider.
• Platform deducts a service fee (e.g., 5%) per transaction.

Example:
Service price: $65
Platform fee: $3.25
Provider receives: $61.75

Payouts

• Funds are distributed via Stripe Connect.
• Timing depends on Stripe payout schedule.
• Platform is not responsible for Stripe delays.

Fees

• Platform fee: X% per transaction.
• Fees may change with notice.

Provider Responsibilities

• Deliver services as described.
• Maintain licenses (if applicable).
• Provide accurate availability.
• Handle customer disputes related to service quality.

Platform Responsibilities

• Provide access to booking tools.
• Process payments securely.
• Maintain reasonable uptime.

Refunds & Disputes

• Provider is responsible for service-related refunds.
• Platform may assist but is not liable.
• Chargebacks may result in fee deductions.

Termination

• Either party may terminate at any time with notice.
• Immediate termination for violations.

Liability Limitation

• Platform is not liable for service quality, injuries, or damages from services.
• Platform acts as a technology provider only.

Indemnification

• Provider agrees to indemnify Platform against claims from customers and legal disputes related to services.

Governing Law

• State: Texas

Client Freedom

• Clients are not bound to use the Platform’s services and may choose any provider or service at their discretion.

Acceptance

• Provider agrees by signing this Agreement OR using the Platform.
